PORTABLE TOILET RENTAL AGREEMENT, RELEASE, AND INDEMNIFICATION For good and valuable consideration, the sufficiency of which is hereby acknowledged, West Coast Sanitation Portables, Inc. (“Lessor”) agrees to rent the portable restroom(s), hand-wash station(s), or related sanitation equipment described below to Lessee, for the time and fee specified herein, subject to the terms and conditions set forth below. 2. TERM AND PAYMENT The rental term shall commence on the Delivery Date and continue on a month-to-month basis until written notice of termination is provided by either party with at least seven (7) days' notice before the next billing period. EARLY TERMINATION MAY RESULT IN AN ADDITIONAL MONTHS FEE. Monthly rental fees are not prorated under any circumstances, including partial-month use, holidays, or early pickup requests. Payment is due in advance of each rental month unless otherwise agreed in writing. Late payments are subject to a 10% monthly finance charge or the maximum allowed by law. Lessor reserves the right to remove all units from the site for non-payment without further notice. USE AND RESPONSIBILITY Lessee shall use the rented unit(s) in a safe, sanitary, and lawful manner. Lessee is responsible for providing safe and accessible placement for servicing, including reasonable truck access to within 30 feet of each unit. Failure to do so will result in an additional service fee charge of at least $75. Lessee shall not relocate units without prior written consent from Lessor. Unauthorized relocation may incur additional fees and the lessor is indemnified from personal injury ;or damage incurred. DAMAGE AND LOSS Lessee is financially responsible for any damage, destruction, theft, graffiti, fire, or vandalism to the rented unit(s), regardless of cause, while in Lessee’s care, custody, or control. Charges for damaged or destroyed units shall include the full replacement cost of the unit, plus any applicable labor, transportation, and administrative fees. Additional charges may apply for excessive waste, misuse, contamination, or obstruction preventing scheduled servicing. MAINTENANCE AND SERVICING Routine servicing (cleaning, restocking, and waste removal) will be performed on the schedule specified by Lessor, typically once per week, unless otherwise agreed in writing. Emergency service calls (overflow, tip-over, or damage) may incur additional charges based on distance and availability. Lessor makes reasonable efforts to maintain all units in sanitary condition and in compliance with local health regulations. NO WARRANTIES / LIMITATION OF LIABILITY Lessor provides the equipment “as-is” and makes no warranty, express or implied, regarding merchantability or fitness for a particular purpose. Lessee agrees that West Coast Sanitation Portables, Inc., its officers, employees, and agents shall not be held liable for any direct, indirect, incidental, or consequential damages, injury, illness, or loss of use arising from the use, placement, or failure of the rented equipment. RELEASE AND INDEMNIFICATION Lessee hereby releases, indemnifies, and agrees to hold harmless West Coast Sanitation Portables, Inc., its employees, agents, successors, and assigns from and against any and all claims, damages, losses, injuries, liabilities, and expenses, including attorney’s fees, arising from: Lessee’s use or misuse of the rented unit(s); Injury or death of any person using or entering the unit(s); or Damage to property arising out of Lessee’s operations, negligence, or breach of this Agreement. This indemnification shall survive termination of this Agreement. TERMINATION Lessor may terminate this Agreement immediately if: Lessee fails to pay rental fees or damages when due; The unit(s) are used for unlawful purposes; Lessor, in its sole discretion, determines that continued rental poses safety or environmental risks. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of California. Any dispute shall be resolved in the Superior Court of San Bernardino County, California. ENTIRE AGREEMENT This Agreement constitutes the entire understanding between the parties and supersedes all prior oral or written communications. Any modification must be in writing and signed by both parties. ACKNOWLEDGEMENT AND SIGNATURES By accepting this invoice lessee acknowledges that they have read, understood, and agree to all terms and conditions of this Agreement.
